These Terms of Service (“Terms”) govern your access to and use of Medaica’s devices, software, applications, websites, and services (collectively, the “Services”), provided by Medaica, Inc. (“Medaica,” “we,” “us,” or “our”).
By creating an account, accessing, or using the Services, you agree to be bound by these Terms and Medaica’s Privacy Policy. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years of age to use the Services. You represent and warrant that you are legally capable of entering into these Terms.
2. Description of Services
Medaica provides tools that collect and transmit acoustic biomarkers derived from heart and lung auscultation using FDA-cleared sensors and software.
Medaica Services enable the capture, storage, visualization, and secure transmission of auscultation sound data to support clinical review. Where offered, qualified human clinicians and clinical advisors assess these sounds and provide exam findings or reports based on their professional judgment.
Medaica uses algorithmic and AI-based tools internally as part of its processes to assist with quality control, validation, workflow support, and consistency of assessments. These tools do not independently diagnose, determine, or replace clinical judgment, and any exam results are reviewed and issued by qualified human clinicians.
The Services do not provide automated medical diagnoses, do not replace a healthcare professional, and are not a substitute for professional medical advice, diagnosis, or treatment.
3. No Emergency Use / No Medical Advice
The Services are not intended for emergency use. If you believe you are experiencing a medical emergency, call emergency services immediately.
All content, reports, and outputs provided through the Services are for informational and clinical support purposes only. You should always seek the advice of a qualified healthcare professional regarding any medical condition or symptoms. Never disregard or delay professional medical advice because of information obtained through the Services.
4. User Accounts and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information and to promptly notify Medaica of any unauthorized use of your account.
Medaica implements reasonable administrative, technical, and physical safeguards to protect data within Medaica-controlled systems, consistent with applicable law. Medaica is not responsible for unauthorized access to data on the user’s own systems or devices, except to the extent required by applicable law.
5. Acceptable Use
You agree not to:

Reverse engineer, decompile, or attempt to extract source code

Interfere with the security or integrity of the Services

Use the Services for commercial resale or redistribution without written authorization

6. Data, Privacy, and Ownership
Your use of the Services is subject to Medaica’s Privacy Policy.
You retain ownership of your personal data. By submitting or transmitting data through the Services, you grant Medaica a worldwide, non-exclusive, royalty-free license to collect, use, process, store, and analyze such data:

As otherwise permitted by law and described in the Privacy Policy
Medaica may use de-identified and aggregated data for research, analytics, and product improvement.
7. Intellectual Property
All intellectual property rights in the Services, including software, algorithms, workflows, designs, trademarks, and documentation, are owned by or licensed to Medaica. These Terms do not grant you any ownership rights in the Services.
8. Third-Party Services
The Services may integrate with third-party platforms or services. Medaica does not control and is not responsible for third-party services, which are governed by their own terms and policies.
9. No Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDAICA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND AVAILABILITY.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDAICA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR HEALTH-RELATED OUTCOMES ARISING FROM YOUR USE OF THE SERVICES.
MEDAICA’S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:

THE AMOUNT YOU PAID TO MEDAICA FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR

11. Indemnification
You are responsible for how you use the Services. If claims arise as a result of your misuse of the Services or violation of these Terms, you agree to indemnify and hold harmless Medaica and its officers, directors, employees, and affiliates.
12. Dispute Resolution
We believe most concerns can be resolved informally. If a dispute cannot be resolved, it will be handled through binding arbitration, unless prohibited by law.
You may opt out of arbitration within 30 days of first accepting these Terms. You and Medaica agree not to participate in class actions or class arbitration.
13. Modifications
Medaica may update these Terms from time to time. Updated Terms will be posted within the Services or on our website. Continued use constitutes acceptance of the revised Terms.
14. Termination
Medaica may suspend or terminate access to the Services for violation of these Terms or as required by law. Upon termination, your right to use the Services will immediately cease.
15. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
